Ladaxi Terms of Use Agreement

These Terms of Use ("Terms," "Agreement") govern your use of the Ladaxi mobile application, platform, and related services ("App," "Service," or "Ladaxi"). By creating an account or using the App in any way, you agree to be bound by these Terms. If you do not agree, do not use the App.

We may update these Terms at any time. Material changes will be posted within the App or via email. Changes take effect immediately upon posting. Your continued use of the App after changes constitutes acceptance to those changes.

 1. ELIGIBILITY AND USER REPRESENTATIONS

By using the App, you represent and agree that:

  • You are at least 18 years of age.

  • You have not been convicted of or pled no contest to a felony, violent crime, or sexual offense, and you are not required to register as a sex offender.

  • All information you provide is true, accurate, and complete.

  • You will comply with all federal, state, and local laws, including New York State laws.

  • You will use the Service only for lawful social companionship and personal, non-commercial interactions.

  • You will treat other users respectfully and not engage in harassment, violence, exploitation, or harmful conduct.

  • You will use your account only for yourself and not impersonate others.

  • You will use the most recent version of the App on a compatible device.

  • You understand Ladaxi cannot guarantee the actual age, identity, or background of any user and that age verification steps may be attempted but are not guaranteed.

  • You consent to receive electronic communications, notices, and disclosures through the App or email.

 Important: Ladaxi does not conduct criminal background or identity verification. Users assume all risks in interacting with others, including in-person meetings. You are solely responsible for your safety. We encourage you to meet in public locations, inform friends or family of your plans, and take appropriate precautions.

 2. PROHIBITED CONDUCT AND CONTENT

  • You agree not to engage in harassment, stalking, bullying, threats, discrimination, violence, or harm.

  • You agree not to engage in fraudulent activities, impersonation, spam, or illegal conduct.

  • You agree not to post content that is obscene, graphic, pornographic, discriminatory, violent, hateful, or otherwise offensive.

  • You agree not to solicit or offer sexual services, escorting, or any activity prohibited by law.

  • You agree not to post commercial advertisements or solicitations.

  • You agree not to attempt to access or interfere with servers, networks, or security systems.

  • You agree not to upload or distribute viruses, malware, or harmful code.

Sexual Services Disclaimer: Ladaxi strictly prohibits the solicitation, negotiation, or exchange of sexual services of any kind. Violations may result in permanent account termination and referral to law enforcement where appropriate.

 3. SAFETY AND USER RESPONSIBILITY

  • Ladaxi is a technology platform only and does not oversee companionship services.

  • Ladaxi does not guarantee the identity, background, intentions, or conduct of any user.

  • Ladaxi does not supervise, control, or monitor in-person meetings between users and is not responsible for actions, conduct, incidents, or consequences occurring outside the App.

  • Ladaxi does not provide professional, medical, legal, financial, transportation, escort, or security services and does not provide insurance coverage for meetings.

  • You acknowledge and agree that you assume all risks associated with interacting with others, including meeting in person.

  • You should meet in public locations, notify a trusted person of your plans, and use reasonable precautions.

  • You agree to promptly report any misconduct, harassment, safety concerns, or suspicious behavior through in-app support channel or directly to law enforcement authorities, as appropriate.

 4. MARKETPLACE ROLE

  • Ladaxi provides a platform for users to connect. Ladaxi does not employ, manage, supervise, or control companions.

  • Companions are independent contractors and not employees, agents, or representatives of Ladaxi.

  • Ladaxi is not responsible for the conduct, suitability, or actions of clients or companions.

 5. PAYMENT TERMS

  • Creating an account is free. Ladaxi may introduce subscription fees or membership plans in the future.

  • Rates for companionship services are displayed on Ladaxi website and also in the App.

  • Payments processed through the App are solely for platform facilitation and technology access.

  • Payments are processed by third-party providers such as PayPal. You agree to their terms. Ladaxi is not responsible for errors, failures, chargebacks, or delays caused by third-party payment systems.

  • Fees are non-refundable unless required by law.

  • Taxes may apply and are your responsibility.

  • Ladaxi does not monitor or facilitate the exchange of money between users outside the official payment channels.

  • Ladaxi may change fees or billing practices by posting updates in the App or website. Continued use constitutes acceptance of updated fees.

 Future Subscription Billing Disclosure: If subscription services are introduced, you will be informed of auto-renewal terms before enrollment. You may cancel before the next billing cycle. Subscriptions will comply with New York’s Automatic Renewal Law.

 6. NO BACKGROUND CHECKS

  • Ladaxi does not conduct criminal background checks, identity verification, or user vetting.

  • Ladaxi is not a consumer reporting agency and does not use consumer reports as defined by the Fair Credit Reporting Act.

 7. INTELLECTUAL PROPERTY

All intellectual property including logos, branding, text, graphics, and software is owned or licensed by Ladaxi. You may not copy, distribute, reverse-engineer, or create derivative works without written authorization.

 8. TERMINATION

  • Ladaxi may suspend or terminate accounts for violations of these Terms, illegal conduct, harmful behavior, or fraud.

  • You may terminate/delete your account at any time.

  • Ladaxi may retain certain information for legal, safety, or fraud-prevention purposes.

 9. LIABILITY DISCLAIMER

  • The App and Services are provided "as is" and "as available."

  • Ladaxi does not guarantee user compatibility, safety of interactions, accuracy of user information, availability or uninterrupted operation, or identity verification.

  • To the maximum extent allowed by law, Ladaxi is not liable for personal injury, emotional distress, property damage, financial loss, harm caused by other users, events occurring during offline meetings, viruses, outages, or technical issues.

  • Ladaxi does not disclaim liability where prohibited by law, including gross negligence, willful misconduct, or New York consumer protection violations.

 10. INDEMNIFICATION

You agree to indemnify and hold harmless Ladaxi, its affiliates, employees, and contractors from claims, damages, losses, liabilities, and expenses arising from your use of the App, interactions with users, violations of these Terms, or illegal conduct.

This indemnification does not apply where Ladaxi engages in gross negligence or misconduct.

 11. GOVERNING LAW, ARBITRATION, AND OPT-OUT

Governing Law:

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law rules.

 Arbitration:

Except where prohibited by U.S. law, any dispute, claim, or controversy arising from or relating to these Terms or the App must be resolved through binding arbitration under the rules of the American Arbitration Association (AAA). The arbitration will take place in New York, NY, unless both parties agree otherwise. This arbitration agreement is enforceable under the Federal Arbitration Act (9 U.S.C. §§ 1–16).

 Class Action Waiver:

You and Ladaxi agree not to participate in any class, collective, or representative action, in accordance with U.S. federal and New York state law. All disputes must be handled individually.

 Small Claims Court:

This arbitration agreement does not prevent you from filing a claim in small claims court in the United States for matters within that court’s jurisdiction under U.S. law.

 Opt-Out:

You may opt out of arbitration within 30 days of creating your account by sending a written notice to Ladaxi Support at [support@ladaxi.com]. If you opt out, all other provisions of these Terms remain in effect.

 12. PRIVACY AND DATA PROTECTION

Your use of the App is governed by our Privacy Policy. Ladaxi complies with the New York SHIELD Act and will notify users of data breaches as required by law.

13. FORCE MAJEURE

Ladaxi is not responsible for delays or failures caused by natural disasters, network outages, government actions, strikes, terrorism, or public safety emergencies.

 14. SEVERABILITY

If any provision is unenforceable, the remaining provisions remain in effect.

 15. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Ladaxi. By continuing to use Ladaxi, you agree to these Terms.
